1. Acceptance of These Terms

1.1 These Terms of Service ("Terms") govern access to and use of the website, application, APIs and related services operated under the domain booksite.org and any successor domain (the "Platform").

1.2 By creating an account, uploading content, purchasing, or otherwise using the Platform, you ("you", "User") agree to be bound by these Terms, our [Privacy Policy], and — where applicable — our [Refund Policy] and any separate [Master Services Agreement] signed for enterprise/publisher accounts. If you do not agree, you must not use the Platform.

1.3 Age restriction. The Platform is restricted to persons 18 years of age or older. Booksite does not knowingly permit the listing, sale, or targeting of content to minors, and does not knowingly collect personal information from anyone under 18. If we become aware that a User is under 18, we will suspend and, where required, delete the associated account.

1.4 We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

2. Who We Are and What Booksite Does

2.1 Booksite Org is a platform that enables authors to write, publish, and distribute books in "Tinybook" format and engage readers through interactive and analytics-driven reading experiences.

2.2 Booksite is a facilitator and technology provider. Except where expressly stated, Booksite is not the publisher, seller of record, or author of any book listed on the Platform, and does not vet, edit, or endorse User-generated content beyond the moderation described in clause 6.

3. Accounts

3.1 You must provide accurate, current, and complete information when registering and keep it up to date. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.

3.2 You may not share, sell, or transfer your account, or create an account on behalf of another person without authority, or maintain more than one account for the purpose of evading suspension.

3.3 We may suspend or terminate accounts for breach of these Terms, suspected fraud, chargebacks, non-payment, or conduct that exposes Booksite, other Users, or readers to legal or reputational risk (see clause 11).

4. Author Content and Intellectual Property

4.1 Ownership retained. As between you and Booksite, you retain all copyright and other intellectual property rights in the manuscripts, text, cover art, metadata, and other content you upload ("Author Content"). Nothing in these Terms transfers ownership of Author Content to Booksite.

4.2 Licence granted to Booksite. By uploading Author Content, you grant Booksite a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, format, publicly display, distribute, and transmit the Author Content solely for the purposes of (a) operating and promoting the Platform, (b) delivering the Author Content to readers who have purchased or been granted access to it, (c) generating reading analytics and engagement features, and (d) creating reasonable promotional excerpts (e.g., previews, thumbnails) with attribution to you. This licence survives termination only to the extent necessary to fulfil orders placed, refund obligations, and legally required record-keeping.

4.3 Warranties by authors. You represent and warrant that: (a) you own or have all necessary rights and licences in the Author Content; (b) the Author Content does not infringe any third party's copyright, trademark, moral rights, privacy, or other rights; (c) the Author Content is not defamatory, unlawful, or in breach of any law (including obscenity, classification, or hate-speech laws); and (d) the Author Content does not depict, describe, or sexualise minors in any way.

4.4 Indemnity. You indemnify Booksite against any claim, loss, damage, or liability (including reasonable legal costs) arising from a breach of clause 4.3, to the maximum extent permitted by law.

4.5 Takedown. Booksite will respond to well-founded copyright or rights infringement notices in accordance with a notice-and-takedown process and may remove content pending investigation. Repeat infringers will be terminated.

5. Purchases, Fees, and Payments

5.1 Payment processor. All payments on the Platform are processed by Stripe, with Booksite acting as the Stripe Connect platform account. By transacting on the Platform you also agree to Stripe's terms of service. Booksite does not store full card numbers; card data is handled exclusively by Stripe as a PCI-DSS compliant processor.

5.2 Platform fee. Booksite charges a 22% platform fee on gross revenue generated through book sales/subscriptions/other monetised features on the Platform ("Platform Fee"). The remaining net proceeds are payable to the author, subject to Stripe's processing fees and any applicable taxes, via the payout method connected to the author's account (e.g., Stripe Connect).

5.3 Onboarding eligibility and restricted categories. As part of onboarding, Booksite reviews each author's account to confirm they are not operating in a business category restricted under Stripe's terms, or otherwise prohibited from selling on the Platform. Booksite may decline, suspend, or terminate an author account that operates or is suspected of operating in a restricted category, or that fails identity/compliance verification.

5.4 Platform liability to Stripe; author's corresponding liability to Booksite. You acknowledge that under Booksite's Stripe Connect platform agreement, Booksite (not Stripe) is directly liable to Stripe for refunds, chargebacks, fines, penalties, seller fraud, and negative balances arising from author accounts, including your account. Accordingly:

(a) you are liable to Booksite for the full amount of any refund, chargeback, fine, penalty, or negative balance that Stripe debits from Booksite as a result of your account, sales, or conduct, plus any associated processing or dispute fees;

(b) Booksite may deduct, offset, or withhold such amounts from any current or future payout owed to you, without prior notice where reasonably necessary to prevent loss, and will notify you of the deduction and reason as soon as practicable;

(c) where a deduction or offset is insufficient to cover the full amount owed (including where your account balance is negative or your account has been closed), you must pay the shortfall to Booksite within 14 days of a written request, and Booksite may pursue recovery through invoicing, debt collection, or legal proceedings;

(d) Booksite may hold a reasonable rolling reserve from your sale proceeds, calculated based on your account's chargeback/refund history, sales volume, or category risk, to cover anticipated refunds, chargebacks, fines, or fraud losses. Reserved amounts are released once the associated risk period has passed, unless applied under clause 5.4(b).

5.5 First-line support obligation. Because Booksite is responsible to Stripe for supporting authors on payment and risk matters, Booksite will provide reasonable first-line support to authors regarding payment disputes, chargebacks, and risk holds, and will guide authors through any remediation Stripe or Booksite requires (e.g., providing additional verification, evidence for a dispute, or corrective action following a risk flag). This does not replace your own obligation under clause 5.4 to bear the cost of losses caused by your account.

5.6 Fraud and abuse. If Booksite reasonably suspects an author's account is being used for fraudulent transactions, money laundering, or to circumvent Stripe's or Booksite's risk controls, Booksite may immediately suspend the account, freeze pending payouts, and report the matter to Stripe, law enforcement, or other relevant authorities as required.

5.7 Payout timing. Payouts are processed on a [WEEKLY/FORTNIGHTLY/MONTHLY — CONFIRM] cycle, subject to the reserve and offset rights described in clause 5.4.

5.8 Taxes. Authors are solely responsible for determining and remitting any GST, income tax, or other taxes arising from their sales, and for providing a valid ABN where required. Where an author does not provide an ABN and withholding applies under Australian tax law, Booksite may be required to withhold amounts from payouts.

5.9 Pricing changes. Booksite may change the Platform Fee or introduce new fees (including to reflect changes in Stripe's Radar or processing fees) with at least 30 days' notice to active authors; changes apply prospectively to sales made after the effective date.

6. Content Standards and Prohibited Conduct

6.1 You must not upload, publish, or use the Platform to distribute content that:

• sexualises, depicts, or targets minors in any way;

• infringes intellectual property, privacy, or other legal rights of any person;

• is defamatory, harassing, discriminatory, or incites violence;

• promotes illegal activity, or violates Australian classification or censorship laws;

• contains malware, or attempts to circumvent Platform security, rate limits, or the Platform Fee (e.g., directing readers off-platform to avoid payment).

6.2 Booksite may use automated and manual review, remove content, and suspend or terminate accounts for breach, in its reasonable discretion, without liability for resulting loss to the extent permitted by law.

7. Reader Accounts and Engagement Data

7.1 Where the Platform provides reading-engagement analytics (e.g., reading time, progress, highlights) to authors, this data is collected and used in accordance with our [Privacy Policy]. Authors may only use reader engagement data provided to them for legitimate purposes connected with their own published works and must not attempt to re-identify or contact readers outside Platform-provided channels without consent.

8. Third-Party Services and Infrastructure

8.1 The Platform is hosted using Vercel (application hosting/edge functions) and Neon (managed PostgreSQL database), and integrates with other service providers including Stripe (payments), GoHighLevel and Emailit(customer communications/marketing), and Google Workspace (business operations). Details of how these providers process personal information are set out in our [Privacy Policy] and [Data Processing Agreement].

8.2 Booksite is not responsible for outages, data loss, or security incidents caused solely by the infrastructure or acts/omissions of third-party providers, except to the extent Booksite failed to exercise reasonable care in selecting, configuring, or overseeing them.

9. Disclaimers

9.1 The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Booksite excludes all warranties, express or implied, other than the consumer guarantees under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) ("ACL") that cannot lawfully be excluded.

9.2 Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot lawfully be excluded, restricted, or modified, including consumer guarantees under the ACL relating to services being provided with due care and skill and fit for the purpose disclosed.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, and subject to clause 9.2, Booksite's total aggregate liability arising out of or in connection with these Terms (whether in contract, tort, statute, or otherwise) is limited, at Booksite's election, to (a) re-supply of the relevant service, or (b) the amount of fees actually paid by the User to Booksite in the 12 months preceding the event giving rise to the claim.

10.2 Booksite is not liable for indirect, special, or consequential loss, loss of profits, loss of data, or loss of business opportunity, to the extent such exclusion is permitted by law.

10.3 Where Booksite's services are supplied to a person who acquires them for the purposes of a business (within the meaning of section 64A of the ACL), the limitations in this clause 10 apply to the fullest extent permitted, including limitation of ACL consumer-guarantee remedies to re-supply or the cost of re-supply, where lawful to do so.

10.4 Clause 10 does not limit an author's liability to Booksite under clause 5.4 for amounts Stripe debits from Booksite as a result of the author's account, sales, fraud, or conduct.

11. Suspension and Termination

11.1 You may close your account at any time via account settings or by contacting admin@booksite.org.

11.2 Booksite may suspend or terminate your account immediately for: breach of these Terms; fraudulent or chargeback activity; content breaching clause 6; legal or regulatory requirement; suspected operation in a restricted business category; or non-payment of fees or amounts owing under clause 5.4.

11.3 On termination, outstanding payment obligations survive, including any liability under clause 5.4, and Booksite will process any pending payouts less amounts properly withheld for refunds, chargebacks, fines, disputes, or reserve requirements, within a reasonable time and consistent with Stripe's settlement timelines.

12. Governing Law and Disputes

12.1 These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.

12.2 Before commencing formal proceedings (other than for urgent injunctive relief, IP infringement, or recovery of amounts owed under clause 5.4), the parties agree to attempt to resolve the dispute in good faith through direct negotiation for at least 20 business days, and if unresolved, may refer the dispute to mediation administered by the Resolution Institute (or equivalent) before litigation.

13. General

13.1 Assignment. You may not assign these Terms without Booksite's consent. Booksite may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.2 Severability. If any provision is held invalid or unenforceable, the remainder continues in effect.

13.3 Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, DPA (where applicable), and any signed MSA, constitute the entire agreement between the parties regarding the Platform.
